1. Acceptance of Terms

By accessing or using the GroupAdvantage platform ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including administrators, members, and customer portal users.

2. Description of Service

GroupAdvantage provides a software platform for managing group discount programs, including member roster management, invoicing, payment processing, and CRM integrations. The Service is provided on a subscription basis to authorized organizations and their designated administrators.

3. Account Registration

To access the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. GroupAdvantage reserves the right to terminate accounts that violate these Terms.

4. Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Transmit any unauthorized advertising, spam, or bulk communications
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Upload malicious code, viruses, or any harmful content
• Reverse engineer or attempt to extract the source code of the Service

5. Payment and Billing

Subscription fees are billed in advance on a recurring basis. All fees are non-refundable except as expressly stated in these Terms or required by law. You authorize GroupAdvantage to charge your payment method for all fees incurred. GroupAdvantage reserves the right to modify pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You represent that you have obtained all necessary consents to provide any personal data of your members or contacts to the Service and to allow GroupAdvantage to process that data in accordance with our Privacy Policy.

7. Intellectual Property

GroupAdvantage and its licensors retain all intellectual property rights in the Service, including software, designs, trademarks, and content. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of any data you submit to the Service.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROUPADVANTAGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate these Terms at any time. GroupAdvantage may suspend or terminate your access if you violate these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases and you may request export of your data within 30 days.

10. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration, except where prohibited by law. You waive your right to participate in class action lawsuits.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms with a revised effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
